No professional relationship

Using this site does not create a doctor and patient relationship, an attorney and client relationship, or any other professional relationship between you and FMMM. We do not provide individualized medical, legal, tax, or investment advice.

Scope of practice

FMMM does not determine, certify, or validate any practitioner’s legal scope of practice. Licensing, certification, and scope of practice are governed by the applicable state, provincial, or national authority. You are responsible for confirming that any practitioner or service you engage is appropriately licensed and operating within their lawful scope.

Listings and accuracy

We work to keep listings current, and each listing carries a last verified date. We do not guarantee the accuracy, completeness, or fitness of any listing. Businesses change. Verify before you buy.

Submitting a listing

If you submit a listing, you represent that you are authorized to do so and that the information you provide is accurate and not misleading. You are responsible for the accuracy of your own listing content and for keeping it current. We may review, edit for clarity and format, request substantiation for, decline, or remove any submission at our discretion.

Removal, suspension, and termination

We may suspend or terminate your access to the site, and may edit, unpublish, or remove any listing or user submitted content, at any time and at our discretion, including where content is inaccurate, unlawful, or in breach of these Terms. If you represent a listed organization and want your listing corrected or removed, contact us and we will honor legitimate requests promptly.

Limitation of liability

To the maximum extent permitted by law, Functional Medicine Market Map is not liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business, arising from your use of the site or your reliance on any listing or content. To the maximum extent permitted by law, our total aggregate liability for any claim relating to the site is limited to the amount you paid to FMMM, if any, in the twelve months preceding the claim.

Disclaimer of warranties

The site is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non infringement, to the maximum extent permitted by law.

Indemnification

You agree to indemnify and hold harmless Functional Medicine Market Map and its officers, employees, and agents from any claim or demand, including reasonable legal fees, arising out of your use of the site, your submitted content, or your breach of these Terms.

Changes to these terms

We may update these Terms from time to time. Material changes will be reflected by an updated “Last updated” date above. Continued use of the site constitutes acceptance of the current version.

Governing law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict of law principles. Any dispute arising under these Terms will be brought in the state or federal courts located in Los Angeles County, California.

Expanded Terms — Memberships and Billing

1. Agreement to Terms

These Terms and Conditions (“Terms”) form a binding agreement between you (“you,” “your,” or “Member”) and SAMTI Management, LLC, a Wyoming limited liability company doing business as Functional Medicine Market Map (“FMMM,” “we,” “us,” or “our”).

By creating an account, purchasing a membership, submitting a listing, or otherwise using functionalmedicinemarketmap.com and any related subdomains, applications, or services (collectively, the “Services”), you agree to these Terms. If you do not agree, do not use the Services.

If you accept these Terms on behalf of a company or other entity, you represent that you have authority to bind that entity, and “you” refers to that entity.

3. Eligibility

You must be at least 18 years old and able to form a binding contract. You represent that all registration information you provide is accurate and that you will keep it current.

The Services are intended for business use by practitioners, vendors, and organizations operating in or adjacent to the functional medicine field. The Services are not intended for consumers seeking medical care and are not a substitute for professional medical advice.

4. Accounts and Security

You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at support@functionalmedicinemarketmap.com if you suspect unauthorized access. We are not liable for losses arising from your failure to safeguard your credentials.

We may suspend or terminate any account that we reasonably believe has been compromised, is being used in violation of these Terms, or is being shared beyond the permitted scope of your tier.

5. Memberships and Tiers

FMMM offers a free tier and multiple paid tiers. Current tiers, pricing, and included features are described at functionalmedicinemarketmap.com/membership/ and are incorporated by reference.

Feature availability may change. We may add, modify, or remove features from any tier. Where a change materially reduces the core functionality of a paid tier, we will provide notice as described in Section 7.

Tier limits. Each tier includes specified usage limits. Exceeding those limits may require an upgrade. We will not silently bill you for overages without prior notice.

6. Billing and Automatic Renewal

READ THIS SECTION CAREFULLY. IT DESCRIBES AUTOMATIC RECURRING CHARGES.

6.1 Recurring billing. Paid memberships are billed monthly in advance to the payment method you provide. Your membership renews automatically each month at the then-current rate for your tier until you cancel.

6.2 Authorization. By purchasing a paid membership, you authorize us and our payment processor to charge your payment method on a recurring monthly basis, on the same calendar day each month (or the closest available day in shorter months), without further authorization from you, until you cancel.

6.3 Renewal terms. The renewal term is one (1) month. The renewal amount is the price of your tier at the time of renewal.

6.4 How to cancel. You may cancel at any time, with no cancellation fee, by either: (a) submitting the cancellation form at functionalmedicinemarketmap.com/cancel-membership/, or (b) emailing support@functionalmedicinemarketmap.com from the email address on your membership. Cancellation takes effect at the end of your current billing period. Cancelling stops future billing. It does not refund the current period. You retain access through the end of the period you paid for, as set out in Section 7.

6.5 Payment method failures. If a charge fails, we may retry. We may suspend access until payment succeeds. You remain responsible for amounts owed.

6.6 Taxes. Prices exclude applicable taxes unless stated otherwise. You are responsible for any sales, use, VAT, or similar taxes.

6.7 Price changes. We may change pricing with at least thirty (30) days’ notice before your next renewal date, sent to your account email. Continued membership after the effective date constitutes acceptance of the new price. If you do not accept, cancel before that date.

7. Refunds

7.1 All fees are non-refundable. Because membership provides immediate access to digital materials, software systems, templates, and configured infrastructure, access is deemed delivered in full at the moment of purchase.

7.2 No partial refunds. We do not refund or credit for partial months, unused access, tier downgrades, or periods during which you did not use the membership.

7.3 Cancellation is not a refund. Cancelling stops future billing. It does not refund the current period. You retain access through the end of the period you paid for.

7.4 Discretionary exceptions. We may, at our sole discretion and without creating any obligation or precedent, issue a refund or credit in individual cases. Doing so once does not entitle you or anyone else to the same treatment.

7.5 Preservation of rights. Nothing in this section limits any non-waivable right you have under applicable consumer-protection law, or waives your right to dispute a charge with your card issuer.

8. Free Tier

The free tier is provided “as is” and may be modified, limited, or discontinued at any time without notice. Free-tier accounts may be deactivated after extended inactivity. No fees are charged and no refunds arise from free-tier changes.

9. Directory Listings and Member Content

9.1 Ownership. You retain ownership of your Member Content.

9.2 License to us. You grant FMMM a worldwide, non-exclusive, royalty-free license to host, store, reproduce, adapt for formatting, publish, and display your Member Content in connection with operating and promoting the Services. This license ends when you remove the content, except for reasonable backup copies and content already distributed.

9.3 Your representations. You represent that you own or have the necessary rights to your Member Content, that it is accurate and not misleading, and that it does not infringe any third party’s rights.

9.4 Accuracy of listings. You are solely responsible for the accuracy of your Listing, including credentials, certifications, licensure, service descriptions, and contact information. Misrepresenting credentials or licensure is grounds for immediate removal without refund.

9.5 Our editorial discretion. We may edit for formatting, decline, or remove any Listing or Member Content at our discretion, including content we reasonably believe is inaccurate, unlawful, misleading, or inconsistent with the purpose of the Directory.

9.6 No endorsement. Inclusion in the Directory is not an endorsement, certification, verification of credentials, or recommendation by FMMM. Users of the Directory are responsible for their own due diligence.

11. Protected Health Information and Compliance

Platform Tools are general-purpose business software. Unless you have executed a separate written agreement with us expressly addressing protected health information, you must not store, transmit, or process PHI through the Services.

You are solely responsible for your own compliance with HIPAA, state privacy laws, telehealth regulations, professional licensing requirements, and advertising rules applicable to your practice.

12. Third-Party Services

The Services integrate third-party platforms including, without limitation, payment processing, CRM and automation infrastructure, analytics, and affiliate tracking. Your use of those integrations may be subject to the third party’s own terms.

We are not responsible for the acts, omissions, availability, security, or data practices of third-party providers. Interruption or discontinuation of a third-party service may affect the Services, and does not entitle you to a refund.

13. Intellectual Property

All Services content — including software, text, templates, workflows, training materials, branding, and the compilation and arrangement of the Directory — is owned by FMMM or its licensors and protected by intellectual property law.

Your membership grants a limited, revocable, non-exclusive, non-transferable license to access and use the Services for your own business purposes during your paid term. You may not copy, redistribute, resell, publish, or create derivative works from our materials without our prior written consent.

Templates and assets expressly designated as “for member use” may be used in your own business. They may not be resold, redistributed, or offered as your own product.

14. Affiliate and Referral Program

Participation in any FMMM affiliate, referral, or partner program (“Market Maker” or similar) is subject to separate program terms, which are incorporated by reference where you enroll.

Commission rates, qualification criteria, attribution windows, payout schedules, and clawback rules are defined in those program terms and may change prospectively with notice. Commissions are earned only on qualifying, completed, non-refunded transactions properly attributed through our tracking system. We may withhold or reverse commissions for fraud, self-referral, refunded or charged-back transactions, or violations of the program terms or these Terms.

15. No Professional Advice; No Guaranteed Results

15.1 Not medical advice. FMMM does not provide medical, clinical, or healthcare advice. Nothing in the Services constitutes diagnosis, treatment, or a provider-patient relationship.

15.2 Not legal, tax, or financial advice. Materials regarding business structure, compliance, tax credits, accessibility, contracts, or marketing are educational only. Consult qualified professionals.

15.3 No guaranteed results. We make no representation or guarantee regarding income, revenue, profit, patient or client volume, search rankings, lead generation, or any other business outcome. Results depend on factors outside our control, including your market, effort, execution, and skill. Any examples, case studies, or figures presented are illustrative and are not a promise of your results.

15.4 Accessibility. Where the Services include accessibility features or ADA-related support, such support is provided on a commercially reasonable basis and does not constitute a guarantee, warranty, or certification of legal compliance with the Americans with Disabilities Act, WCAG, or any other standard. Any reference to tax credits or incentives relates only to businesses that independently qualify, and eligibility is determined by your tax advisor, not by us.

16. Privacy

Our collection and use of personal information is described in our Privacy Policy, incorporated by reference.

17. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT DATA WILL NOT BE LOST.

Some jurisdictions do not allow exclusion of implied warranties, so some exclusions may not apply to you.

18. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, FMMM AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, arising out of or related to these Terms or the Services, regardless of the theory of liability and even if advised of the possibility.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow certain limitations, so some may not apply to you.

19. Indemnification

You agree to indemnify, defend, and hold harmless FMMM and its officers, members, employees, and agents from any claim, demand, loss, liability, damage, or expense (including reasonable attorneys’ fees) arising out of: your Member Content; your use of the Services; your violation of these Terms; your violation of any law or third-party right; or your professional services provided to your own clients or patients.

20. Term, Suspension, and Termination

These Terms remain in effect while you use the Services.

We may suspend or terminate your access immediately, without notice and without refund, if you materially breach these Terms, if we are required to do so by law, or if we reasonably believe continued access poses a risk to us, other members, or the public.

Upon termination, your license ends and we may delete your account data after a reasonable retention period. Export any data you wish to keep before cancelling. Sections 7, 9.2, 13, 15, 17, 18, 19, 21, and 22 survive termination.

21. Dispute Resolution and Arbitration

21.1 Informal resolution first. Before filing any claim, you agree to contact us at support@functionalmedicinemarketmap.com and attempt to resolve the dispute informally for at least thirty (30) days.

21.2 Binding arbitration. Any dispute not resolved informally will be settled by binding arbitration administered by the American Arbitration Association (AAA) under its rules, in Los Angeles, California, or by video conference.

21.3 Class action waiver. YOU AND FMMM AGREE THAT CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE PROCEEDING.

21.4 Exceptions. Either party may bring an individual claim in small claims court, or seek injunctive relief for intellectual property infringement, in a court of competent jurisdiction.

22. Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-laws principles. Subject to Section 21, the exclusive venue for any action is the state and federal courts located in Los Angeles County, California.

23. Changes to These Terms

We may update these Terms. The “Last updated” date reflects the most recent version. For material changes affecting paid memberships, we will provide at least thirty (30) days’ notice by email or in-product notification before the change takes effect. Continued use after the effective date constitutes acceptance. If you do not accept, cancel before that date.

24. General

Entire agreement. These Terms, plus any policies incorporated by reference, are the entire agreement between you and FMMM regarding the Services.

Severability. If any provision is unenforceable, the remainder stays in effect and the unenforceable provision is modified to the minimum extent necessary.

No waiver. Our failure to enforce any provision is not a waiver of it.

Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.

Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.

Electronic communications. You consent to receive communications from us electronically, and agree that electronic records and signatures satisfy any legal requirement that communications be in writing.
